PREMIA peceives approval for merger by absorption of Sunwing Hotels Hellas

Premia Properties acquired Sunwing Hotels Hellas approximately two years ago in a transaction valued at €112.5 million.

The Ministry of Development has approved the merger of Premia Properties REIC with Sunwing Hotels Hellas Tourist Enterprises S.A. through the absorption of the latter by the former.

The decision, which has been published on the Greek government’s Diavgeia transparency portal, approves the merger based on the resolutions adopted by the boards of directors of both companies on 12 June 2026, as well as the notarial deed of merger executed on 18 June 2026.

The decision also authorises the deregistration of the absorbed company from the General Commercial Registry (GEMI), while providing for the registration of the merger deed and the publication of the relevant announcement on the GEMI website.

Sunwing Hotels Hellas, which owns the four-star Sunwing Kallithea Beach resort in Rhodes (534 rooms) and the four-star Sunwing Makrigialos & Ocean Beach Club in Crete (262 rooms), was formerly a subsidiary of the Nordic Leisure Travel Group, previously known as Thomas Cook Northern Europe. The company was acquired by Premia Properties approximately two years ago for €112.5 million.

The completion of the merger forms part of Premia Properties’ broader portfolio reorganisation strategy and supports the company’s continued expansion in the hospitality real estate sector.
