The transaction involves the acquisition of exclusive control by Masoutis S.A. and spans three key markets: wholesale supermarket sales, retail sales, and the provision of supply chain (logistics) services.
Afoi Kontzoglou – Distribution Network S.A. (also known as Kontzoglou Distribution) has been operating in the distribution sector since 1958. The company specializes in logistics and the supply of leading brands in the market, operating proprietary facilities covering more than 20,000 sq.m. in Thessaloniki (Vasilika), Attica (Metamorfosi), and Crete, serving a nationwide distribution network. It has developed an extensive national network with seven hubs located in strategic areas of Greece, including Alexandroupoli, Mytilene, Larissa, Ioannina, Corfu, Patras, and Crete.
According to the announcement, the Competition Commission concluded that the merger does not raise serious doubts regarding its compatibility with competitive market conditions in the relevant markets. Based on an assessment of market shares before and after the completion of the transaction, neither competitive conditions nor the position of Masoutis S.A. in the relevant markets are expected to be affected.
Furthermore, the merger does not create affected markets at the vertical level, there are no cross-market impacts, and at the horizontal level, any increase in market share resulting from the transaction is deemed negligible.
