Alpha bank establishes a new company to which Alpha Leasing's serviced contracts will be transferred along with their related real estate collaterals.

Contracts comprised in the NPL "Andros Portfolio" along with their property collaterals, with a total value of approximately €250 million, are being transferred to Bain Capital's HELLAS CAPITAL LEASING (HCL).

In this context, Alpha Leasing entered into a binding agreement with HCL for the sale by Alpha Holdings SA. to HCL of the participation in the share capital of HCL that will be acquired by Alpha Holdings S.A., against the transfer of the Andros Portfolio.

The price for the said transfer exceeds 36% of the Gross Book Value of the Andros Portfolio. According to the bank, the Transaction is not expected to have a material impact on the funds and liquidity of the Group. Completion of the Transaction is expected around the end of 2024, following receipt of the required regulatory approvals for the Demerger.

Specific properties that currently belong to Alpha Leasing will be transferred to other Companies of the banking group.
