As stated in the relevant announcement, the company DOMIKI KRITIS ANONYMOS TECHNIKI EMPORIKI XENOTHOIKI INDUSTRIIKI TEIREIA (hereinafter: the "Company") recently received today, Tuesday 11.7.2023, information from Mr. Georgios Synatsakis of Michael, who is:
a) President and CEO of the Company and
b) shareholder of the Company, controlling directly and indirectly a total of 68.619% of its shares and voting rights, notice of agreement between himself, Georgios Synatsakis, on the one hand, and his wife Eleni Synatsakis-Mousourakis and the daughters of Alikis Synatsakis and Alkyonis Synatsakis , on the other hand, a Private Agreement in relation to the exercise of the voting rights of their shares in the company "PROPERTY MANAGEMENT ANONYMOUS COMMERCIAL TOURIST HOTEL CONSTRUCTION BUILDING REAL ESTATE COMPANY" and the distinctive title "DIA S.A." (hereinafter: "DIA S.A.").
Specifically:
1) a) Eleni Synatsaki Mousouraki owns 35,930 shares (i.e. 8.79% of the shares and voting rights) of DIA S.A.,
b) Alkyoni Synatsaki owns 82,574 shares (ie 20.21% of the shares and voting rights) of DIA SA,
c) Aliki Synatsaki owns 82,574 shares (ie 20.21% of the shares and voting rights) of DIA SA. and
d) Georgios Synatsakis owns 35,930 shares (ie 8.79% of the shares and voting rights) of DIA SA.
In other words, the above hold a total of 237,008 shares, i.e. 58% of the shares and voting rights of DIA SA.
2) With the agreement, Eleni Synatsaki – Moussouraki, Aliki Synatsaki and Alkyoni Synatsaki assign to Georgios Synatsakis their voting rights in the company DIA SA, deriving from all their above shares and, therefore, Georgios Synatsakis will may exercise them at the general meetings of the company DIA SA, at his discretion.
3) DIA SA owns 9.988% of the Company's shares and voting rights.
4) Georgios Synatsakis currently directly owns 9,309,812 shares and voting rights in the Company (i.e. 58.631% of the Company's total shares and voting rights) and indirectly controls 1,586,000 shares and voting rights (i.e. 9.988% of of the total number of shares and voting rights of the Company) through the company DIA S.A., since the Company owns 171,627 shares and voting rights of the company "DIA S.A." (i.e. 42% of the total shares and voting rights of "DIA S.A.") and Georgios Synatsakis himself owns 35,9304 shares (i.e. 8.79% of the shares and voting rights) of DIA S.A. , therefore, controls DIA S.A., since it controls 50.79% of all the shares and voting rights of DIA S.A. (8.79% directly and 42% indirectly, through the Company).
5) With the signed Private Agreement, G. Synatsakis now controls 100% of the shares and voting rights of DIA SA.
6) The above stated does not affect the percentage of shares directly and indirectly controlled by G. Synatsakis in the Company.
