As stated by the company, the proceeds from the Offering will be used (i) for the full repayment of existing senior sustainability-linked bonds with a total nominal value of €775 million, bearing an interest rate of 4.375% and maturing in 2026, and (ii) to cover the expenses and costs of the Offering.
Additionally, PPC intends to allocate an amount equivalent to the net proceeds raised from the Offering for the financing or refinancing, in whole or in part, of eligible green projects (including other related and supporting expenditures), based on and in accordance with its Green Financing Framework. The completion of the Offering, as well as the aforementioned amount, cannot be guaranteed. PPC intends to list the Bonds on the Euronext Dublin Stock Exchange for trading on its Global Exchange Market or on another appropriate trading venue within the European Union.
Citigroup Global Markets Europe AG, Goldman Sachs Bank Europe SE, and HSBC Continental Europe act as Joint Global Coordinators and Joint Bookrunners of the Offering, while BofA Securities Europe SA, BNP PARIBAS, Deutsche Bank Aktiengesellschaft, Morgan Stanley Europe SE, Nomura Financial Products Europe GmbH, Société Générale, UniCredit Bank GmbH, Alpha Bank S.A., Credia Bank S.A., Eurobank S.A., National Bank of Greece S.A., Optima Bank S.A., Piraeus Bank S.A., Ambrosia Capital Single Member S.A., AXIA Ventures Group Limited, and Euroxx Securities S.A. act jointly as Co-Bookrunners in relation to the Offering.
The Offering roadshow will commence on October 14, 2025.
