The exploitation of EFKA's real estate property, through the establishment of a Special Purpose Company, entitled "Real Estate Company e-EFKA" is comprised in the submitted bill that was posted for consultation by the Ministry of Labor

The company will undertake the exploitation of the real estate portfolio of the insurance company, which is estimated to exceed 850,000 square meters with an objective value of up to 1 billion euros.

According to the draft law, the sole shareholder of the Company is the legal entity under public law with the name "ELECTRONIC NATIONAL SOCIAL INSURANCE AGENCY (e-E.F.K.A.)". The share capital of the Company is defined in its articles of association, does not exceed one million euros, and is covered by EFKA. The payment of the company's capital and any increase in it are exempt from the capital accumulation tax. For the determination of the share capital and the resources of the Company, it is prepared by the e-E.F.K.A. feasibility study within six months from the entry into force of the law.

The ownership status of the real estate of e-E.F.K.A., which is under the administration and management of the Company, is not affected. The ownership of the real estate of e-Ε.Φ.Κ.Α. remains in the e-Ε.Φ.Κ.Α., which retains its rights in it.

The utilization of the properties by the Company is done according to a business plan that includes indicative quarterly objectives, which is approved by the Board of Directors, after the opinion of the Investment Committee.

The Company is based in a municipality defined in its articles of association. By decision of the Board of Directors of the Company, branches, branches or other forms of secondary establishment of the Company may be established. The same or a similar decision determines the operating conditions of the branches, branches or other forms of secondary installation, their responsibilities, as well as the scope and nature of their work and their abolition or merger.

The duration of the Company is defined to be indefinite.

The purpose of the Company includes:

a) The representation of e-EFKA and the action in the name and on behalf of each legal act and in general every legal and material act of administration, management, exploitation and disposal of its real estate.

b) The safeguarding and protection of the real estate of e-Ε.Φ.Κ.Α.

c) The leasing, leasing and in any contractual form the concession of the use of the real estate that is placed under its administration and management,

d) The care for the housing of the services of e-EFKA, as well as the management and maintenance of their building and electromechanical installations.

e) The sale and general disposal of the properties managed and managed by it. The establishment, transfer and assignment of these real estate rights, including the establishment of a surface right, in any contractual form and type.

f) The concession with or without consideration of the use of the real estate that it manages and manages, as well as its own real estate, for public, journalistic, public benefit, social, charitable and humanitarian, non-profit purposes and for the service of the public and the social interest.

g) The inventory, mapping and cadastre from the Hellenic Cadastre of the real estate of e-Ε.Φ.Κ.Α. and estimating its value. Keeping a record of the real estate of e-Ε.Φ.Κ.Α. and its title deeds.

h) The acceptance in the name and on behalf of the e-E.Φ.Κ.Α. concessions, donations, legacies and bequests of real estate. The representation of e-Ε.Φ.Κ.Α. in the expropriation proceedings in his favor.

i) The elaboration and assignment of studies for the utilization of the real estate of e-Ε.Φ.Κ.Α .. The elaboration and assignment of financial, technical, economic-technical, construction, supervision, administration, organization and management of real estate and technical works, studies of renovation works and real estate restoration, and any design and consulting project, work and service, for the real estate he manages and manages.

j) The assignment and undertaking, supervision and construction of technical projects, construction, electrical, mechanical, industrial, energy, hydraulic, modernization, renovation and restoration works of real estate, and any kind of construction project for the real estate he manages and manages.

k) The performance of any other act, work and transaction, which is directly or indirectly related, complementary or ancillary to its purposes.
