Specifically, in accordance with Article 24, paragraph 2(a) and (b) of Law 3461/2006, the anonymous company under the name "MASDAR HELLAS MONOPROSOPI S.A." (hereinafter referred to as the "Offeror") announces the following:
(a) On 09.01.2025, it acquired a total of 876,753 common registered shares of the anonymous company under the name "TERNA ENERGIÁKI ANONYMI VIOMICHANIKI EMPORIKI TECHNIKI ETAIRIA" (hereinafter referred to as the "Company") at a price of €20.00 per share through stock market transactions.
(b) As a result of the transactions mentioned in (a), the Offeror's voting rights in the Company were adjusted to approximately 87.91% from approximately 87.17% as of 08.01.2025.
Furthermore, in accordance with Article 19, paragraph 3 of Regulation (EU) 596/2014 (the "Regulation"), "TERNA ENERGIÁKI ANONYMI VIOMICHANIKI EMPORIKI TECHNIKI ETAIRIA" (the "Company") announces that, following the notification received on 10.01.2025 in accordance with Article 19, paragraph 1 of the Regulation from the anonymous company "MASDAR HELLAS MONOPROSOPI S.A." (referred to as "Masdar Hellas"), a legal entity that may be considered to have close ties to Mr. Faisal Tahir Bhatti, a non-executive member of the Board of Directors of the Company, on 09.01.2025, Masdar Hellas acquired, for its own account, a total of 876,753 common registered shares issued by the Company (ISIN GRS496003005) at €20.00 per share, i.e., for a total value of €17,535,060.00, respectively, through stock market transactions executed on the Athens Stock Exchange.
