TRASTOR acquires warehouse premises in Mandra

The Board of Directors calls Trastor's shareholders to an extraordinary General Meeting in order to decide on a share capital increase of up to €75 million, the purchase of warehouses in Mandra and the election of a new Board of Directors.

The commercial warehouse belongs to a company of the Piraeus Bank group (majority shareholder).

It is a three-storey industrial warehouse building with a total area of 17,060 sqm that has been erected on an area of 18,977.29 sqm in the location "Xeropigado" in Mandra Attica.

The warehouses have cold rooms and storage areas of 7,560.25 square meters at the basement level, 8,966.05 square meters of storage space on the ground floor and 94.83 square meters and 429.08 square meters of offices on the first floor and second floor respectively.

The property is fully leased by Goldair Cargo, with a lease that has expired as of 12/31/2020.

The price at which they will be transferred to REIC's portfolio amounts to €7,020,000.

Extraordinary General Assembly for a share capital increase of €75 million

The license will be paid in cash. Up to 52,816,895 new common registered shares will be issued with a nominal value of €0.50 per share and an offer price of €1.42, with the aim of raising up to €75,000,000 (including premium amounts) Rights will be granted preference and pre-registration in favor of old shareholders

The Board of Directors will decide, with a majority of at least 2/3 of its members, the share capital increase will specify and finalize the other conditions and the schedule of the AMC, including the deadline for the payment of the amount of the AMC, to take all the necessary actions for the listing of the new shares on the Athens Stock Exchange and, in general, will take any action for the purpose of implementing the decision of the Extraordinary General Meeting and the realization and completion of the AMC, including the amendment of article 5 of the Company's Articles of Association. The authorization will be valid until 04/30/2024.

Election of a new Board of Directors - Entry of a new member

A new seven-member Board of Directors is elected for a four-year term, which consists of Messrs. Tasos Kazinos (CEO) Georgios Kormas, Ioannis Vogiatzis and Dimitris Rayia (new member) and as independent non-executive members Messrs. Lambros Papadopoulos, Jeremy Greenhalgh and Suzana Pogiatzis.
